6.1 Our Intellectual Property

These Terms do not grant you any right, title, or interest in our intellectual property. You may not use our trademarks, logos, or brand elements without our prior written consent.

6.2 Client Materials

You retain ownership of any materials, data, or content you provide to us in connection with our services ("Client Materials"). You grant us a limited license to use Client Materials solely for the purpose of providing our services to you.

6.3 Work Product

Unless otherwise specified in a separate service agreement, ownership of deliverables created specifically for you as part of our services will be determined according to the terms of that service agreement. Pre-existing intellectual property and general methodologies remain our property.

7. Confidentiality

During the course of our engagement, each party may have access to confidential information of the other party. Both parties agree to:

  • Maintain the confidentiality of such information
  • Use confidential information only for the purposes of the engagement
  • Not disclose confidential information to third parties without prior written consent
  • Protect confidential information with at least the same degree of care used to protect their own confidential information

This obligation shall survive termination of any engagement for a period of five (5) years, or indefinitely for trade secrets.

8. Payment Terms

Fees for our services will be specified in separate service agreements or statements of work. Unless otherwise agreed:

  • Payment is due within thirty (30) days of invoice date
  • Late payments may be subject to interest charges at 1.5% per month
  • All fees are exclusive of applicable taxes
  • We reserve the right to suspend services for non-payment

All fees are non-refundable unless otherwise specified in writing.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ACDG VENTURES LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Site or services
  • Any conduct or content of any third party on the Site
  • Any content obtained from the Site
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID TO US FOR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE THOUSAND DOLLARS ($1,000.00), WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless ACDG Ventures LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

  • Your use of the Site or services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your conduct in connection with the Site or services

11. Termination

We may terminate or suspend your access to the Site or services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Site and services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Either party may terminate a service engagement in accordance with the terms specified in the applicable service agreement.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions. You agree that any legal action or proceeding between you and ACDG Ventures LLC shall be brought exclusively in the state or federal courts located in Denver County, Colorado.

13. Dispute Resolution

Before initiating any formal legal proceedings, the parties agree to attempt in good faith to resolve any dispute through informal negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may initiate formal proceedings.

Any controversy or claim arising out of or relating to these Terms or our services shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Site or services after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new terms, you are no longer authorized to use the Site or services.
